1. Who we are

SpeakCents ("SpeakCents," "we," "us," or "our") is operated by Digital Genius LLC.

By creating an account, accessing, or otherwise using SpeakCents (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility & account

You must be of legal age to form a binding contract in your jurisdiction to use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for:

• Providing accurate and current account information;
• Maintaining the confidentiality of your account credentials;
• Restricting unauthorized access to your account; and
• Activity occurring through your account.

You must promptly notify us if you believe your account has been accessed without authorization.

3. The Service

SpeakCents is personal financial management software that provides tools for budgeting, expense and transaction tracking, cash-flow tracking, reporting, savings goals, voice-based transaction entry, financial insights, projections, and user-defined financial scenarios.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with your selected plan and these Terms.

You may not:

• Use the Service for unlawful, fraudulent, abusive, or deceptive purposes;
• Infringe the intellectual property or other rights of another person;
• Introduce malware or other harmful technology;
• Probe, scan, scrape, or attempt to circumvent the security or technical restrictions of the Service;
• Reverse engineer, copy, reproduce, or modify the Service except where applicable law expressly permits it;
• Resell, sublicense, or commercially exploit the Service without our written authorization; or
• Use automated methods to access the Service in a manner that places an unreasonable burden on our systems.

4. Intellectual property & user content

The Service, including its software, design, documentation, content, trademarks, logos, and branding, is owned by Digital Genius LLC or its licensors and is protected by applicable intellectual property laws.

You retain ownership of information and content you submit to SpeakCents, including transactions, notes, uploaded information, and voice inputs.

You grant us a limited license to host, process, transmit, reproduce, and otherwise use your content as reasonably necessary to operate, maintain, secure, and provide the Service.

Our handling of personal information is also governed by our Privacy Policy.

5. Connected financial accounts & third-party data

SpeakCents allows users to connect eligible financial accounts and obtain financial information through third-party service providers.

By connecting a financial account, you represent that you are authorized to access that account and authorize SpeakCents and its applicable service providers to retrieve and process information from that account as necessary to provide the Service.

Information obtained from financial institutions and other third-party sources may occasionally be delayed, incomplete, unavailable, duplicated, or inaccurate.

SpeakCents does not control the underlying information provided by financial institutions or third-party data providers and cannot guarantee its completeness, timeliness, or accuracy.

You are responsible for reviewing imported transactions, balances, categories, account information, and other financial information for accuracy.

Your use of third-party services may also be subject to the terms and privacy policies of those providers.

Connecting a financial account does not create a banking, brokerage, lending, advisory, or other financial-services relationship between SpeakCents and you.

6. AI-powered features

Certain SpeakCents features may use artificial intelligence or automated systems to:

• Categorize transactions;
• Generate summaries and insights;
• Interpret voice input;
• Explain information contained in your financial data;
• Produce projections or scenarios; and
• Provide other automated functionality within the Service.

AI-generated and automated outputs may contain errors, omissions, or inaccuracies.

You should review important information before relying on it.

AI-generated outputs are provided as part of SpeakCents' informational software functionality and do not constitute financial, investment, tax, credit, mortgage, legal, or other professional advice.

7. Household & shared access

SpeakCents may allow you to invite other users to participate in a household or shared account experience.

By inviting another person, you understand that the person may be able to access financial information, transactions, budgets, goals, reports, or other information made available within the shared household.

You are responsible for:

• Inviting only people whom you authorize to access shared information;
• Understanding what information will be shared;
• Managing household access; and
• Removing access when it is no longer appropriate.

Each household member remains responsible for maintaining the security of their own account credentials.

8. Payments, subscriptions & billing

SpeakCents may offer free and paid subscription plans.

Paid subscriptions are billed at the price and billing interval presented to you at the time of purchase.

Subscriptions automatically renew at the applicable monthly or annual billing interval unless canceled before the next renewal date.

By purchasing a paid subscription, you authorize our payment provider to charge the applicable subscription fees, taxes, and other amounts disclosed to you at checkout to your selected payment method.

Orders are processed by Stripe, our payment processor, which also handles tax calculation, collection, and remittance on qualifying transactions. Digital Genius LLC is the seller of the SpeakCents subscription. Card statements may show a descriptor beginning with LINK.COM followed by our business name.

You may cancel your subscription through the Subscription page within SpeakCents or through any other cancellation method made available to you.

Cancellation stops future renewals but does not ordinarily terminate access to paid features before the end of the already-paid subscription period unless otherwise stated.

Refund eligibility is governed by the SpeakCents Refund Policy and any rights provided by applicable law.

We may change subscription prices or plan features from time to time. Where required, we will provide notice before a pricing change applies to an existing subscription.

If a payment cannot be completed, access to paid features may be limited or suspended until payment is successfully completed.

9. Financial Information Disclaimer

SpeakCents is a software application for personal budgeting, expense tracking, transaction organization, cash-flow tracking, reporting, savings-goal tracking, and user-defined financial scenarios. Your subscription provides access to these software tools.

SpeakCents does not provide financial, investment, tax, credit, mortgage, or legal advice, nor does it provide securities or trading recommendations. SpeakCents is not a broker, investment adviser, financial planner, lender, credit counselor, or legal or tax professional.

Calculations, summaries, insights, projections, scenarios, and other information provided through the Service are generated from information you provide or connect and, where applicable, assumptions you select. They are provided for informational purposes only, are estimates rather than guarantees, and actual results may vary.

You are responsible for evaluating your own circumstances and making your own financial decisions. You should consult an appropriately qualified professional when needed.

10. Third-party services

SpeakCents may integrate with or rely upon third-party products and services, including:

• Financial-data providers;
• Financial institutions;
• Payment processors;
• Authentication services;
• Hosting and infrastructure providers;
• Artificial intelligence providers; and
• Other technology providers necessary to operate the Service.

We do not control third-party services and are not responsible for their availability, accuracy, security, practices, or content except to the extent required by applicable law.

Third-party services may be subject to their own terms, policies, and privacy practices.

References to or integrations with third parties do not necessarily constitute an endorsement, sponsorship, partnership, or affiliation.

11. Service availability & changes

We work to maintain the availability and reliability of SpeakCents, but we do not guarantee that the Service will always be uninterrupted, timely, secure, complete, or error-free.

Features may occasionally be modified, added, limited, suspended, or discontinued as the Service evolves.

We may perform maintenance or make changes necessary for security, legal, technical, or operational reasons.

12. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties that may arise by law, course of dealing, or usage of trade.

We do not warrant that the Service or information displayed through the Service will be uninterrupted, error-free, completely accurate, or suitable for any particular financial decision.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

13. Suspension & termination

We may suspend or terminate access to the Service for reasons including:

• Material breach of these Terms;
• Non-payment;
• Fraudulent or unlawful activity;
• Security risks;
• Abuse of the Service;
• Repeated or serious policy violations; or
• Circumstances where continued access could create legal, security, or operational risk.

You may stop using SpeakCents or cancel your account in accordance with the functionality provided through the Service.

Where available, you should export information you wish to retain before deleting or closing your account.

Data deletion and retention are handled in accordance with our Privacy Policy and applicable law.

14. Limitation of liability

To the maximum extent permitted by applicable law, Digital Genius LLC's aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid for the Service during the twelve months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, Digital Genius LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities.

These limitations apply regardless of the legal theory on which a claim is based.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Digital Genius LLC and its officers, employees, agents, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your unlawful use of the Service;
• Your content;
• Your violation of these Terms; or
• Your violation of another person's rights.

16. Privacy

Our collection, use, and handling of personal information is described in the SpeakCents Privacy Policy.

By using the Service, you acknowledge that information will be handled as described in that policy.

17. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service, applicable laws, business practices, or other operational requirements.

If we make material changes, we may provide notice through the Service, by email, or through another reasonable method.

The updated Terms will display a revised "Last updated" date.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

18. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Subject to any rights you may have under applicable consumer protection laws, disputes arising from these Terms or the Service will be resolved in the appropriate state or federal courts located in Delaware.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

20. Entire agreement

These Terms, together with the Privacy Policy, Refund Policy, and any additional terms presented to you in connection with a particular SpeakCents feature or subscription, constitute the agreement between you and Digital Genius LLC regarding your use of the Service.
